Terms of Service — OnboardTrack
Effective date: 10 October 2026 Last updated: 10 October 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of OnboardTrack's website and the OnboardTrack service accessed through your connected AI assistant (together, the "Service"), provided by Wisertrack Pte. Ltd. ("Wisertrack," "OnboardTrack," "we," "us"). By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organisation you represent. If you don't agree, don't use the Service.
If you're using the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to both you individually and that organisation.
2. The Service
OnboardTrack is an employee onboarding platform: a persistent data and business-logic layer that your organisation's members access through their own AI assistant (for example Claude, ChatGPT, Gemini, or another MCP-compatible tool), rather than through a conventional dashboard. The Service stores people, onboarding templates and tasks, reporting lines, and country-specific statutory identifiers; enforces who can see and do what through a fixed, non-customisable set of permission levels; and keeps a history of meaningful actions. It has no built-in reporting screens — any summary or dashboard is generated on request by your connected assistant from your organisation's live data.
On marketing and assistant-generated descriptions. Descriptions of the Service on our website, in marketing materials, or generated by your connected AI assistant are provided for general guidance only and are not a warranty of specific functionality. An assistant's explanation of what OnboardTrack can do is that assistant's own output, not a statement made by us. Where there's any inconsistency between such descriptions and the functionality actually delivered by the Service, the Service as delivered controls.
3. Accounts
You must provide accurate registration information. There are no passwords — you sign in with an emailed one-time code or with Google, and you're responsible for keeping access to that email address secure. Notify us promptly at info@wisertrack.com if you suspect unauthorised access.
Organisations are structured with a fixed, non-customisable set of permission levels. An active organisation must always retain at least one member holding the organisation's top administrative level — that member cannot be removed while they are the only one remaining at that level.
4. Plans, Credits & Billing
4.1 Credits. Starting a workflow uses credits. Each kind of workflow has a credit cost shown on our pricing page; an onboarding costs one credit. A credit is used when the workflow starts, not when it finishes, and is not returned if the workflow is later cancelled. Starting the same template again for the same person within twenty-four (24) hours, to correct a genuine mistake, does not use another credit. A workflow already in progress is never interrupted when credits run out; only the start of a new one is refused.
4.2 Free credits. Every organisation receives the number of free credits each calendar month stated on our pricing page, on every plan. Free credits reset on the 1st of each calendar month (UTC), are used before any other credits, and do not carry over.
4.3 Paid plans. A paid plan adds plan credits for each billing period, monthly or annual, at the price shown when you subscribe. A monthly plan's credits renew on its billing day; an annual plan provides one pool of credits for the billing year. Plan credits not used by the end of a billing period do not carry over.
4.4 Credit packs and bonus credits. Organisations on an annual plan may buy credit packs. A pack expires twelve (12) months after purchase, is non-refundable, and can be used only while a paid plan is active; packs already bought stay on the account if the plan lapses. We may grant bonus credits at our discretion, each with its own expiry.
4.5 Buying and changing plans. Only your organisation's Owner may subscribe, change plan, cancel or buy credit packs, through the Billing area of the OnboardTrack web app. Payments are processed by our third-party payment provider, which issues your receipts and invoices. Your connected AI assistant cannot make or accept payments. An upgrade takes effect immediately and the price difference for the current period is charged on a prorated basis. A downgrade or cancellation takes effect at the end of the current billing period.
4.6 Renewal and failed payments. A subscription renews automatically at the end of each billing period until it is cancelled, and our payment provider may send you a reminder before it renews. If a payment fails, the payment provider may retry it, and paid credits remain available while it does. If the subscription ends, your organisation returns to the free credits. No Customer Data is deleted or hidden because a plan changes or ends.
4.7 Prices and taxes. Prices are in US dollars and exclude applicable taxes, which are added where required. We will give notice of a price change under Section 15. A subscriber keeps their price for as long as they remain on the same plan.
4.8 Refunds. Fees are non-refundable except where required by applicable law. Credit packs are non-refundable (Section 4.4).
5. Acceptable Use
You agree not to:
- Use the Service to violate applicable law or infringe a third party's rights
- Attempt to reverse-engineer, decompile, or gain unauthorised access to the Service or its underlying systems
- Introduce malicious code, or attempt to disrupt, overload, or probe the Service's security
- Use access to the Service to build a competing product
- Misrepresent your identity, your organisation, or your permission level, or attempt to have your connected assistant act on data or perform actions outside what your permission level allows
- Submit a statutory-field proposal, or a feedback report, that you know to be false or misleading
- Attempt to circumvent the Service's credit limits other than through the free twenty-four (24) hour restart the Service provides for a real mistake
Where reasonably practicable, we will give notice and a reasonable opportunity to cure before suspending or terminating an account for a violation of this section. Immediate suspension without prior notice is reserved for cases involving a genuine security threat, suspected fraud, or unlawful activity, where waiting for a cure period would create material risk.
6. Your Data
6.1 Ownership. As between you and Wisertrack, you (or your organisation) retain ownership of the person records, onboarding data, statutory identifiers, and other content you or your connected assistant input into the Service ("Customer Data"). We claim no ownership over Customer Data.
6.2 Our licence to use it. You grant Wisertrack a limited licence to host, process, transmit, and display Customer Data solely as necessary to provide the Service — including making it accessible to the AI assistant you choose to connect, to the extent your permission level allows — as described in our Privacy Policy.
6.3 What we will not do with it. We will not sell Customer Data, use it for advertising purposes, or share the content of a feedback report you send us with anyone in your organisation.
6.4 Your connected AI assistant. You choose which AI assistant to connect to the Service, and that choice, and everything that assistant does with data after receiving it in response to your request, is between you and that assistant's provider — not something Wisertrack controls or is responsible for. See our Privacy Policy, Section 6.
6.5 Export & deletion. OnboardTrack does not currently offer a self-serve data export or account-deletion tool. You may request either by contacting info@wisertrack.com; see our Privacy Policy for how such requests are handled, including retention that may be required for record-keeping purposes. When your organisation's account is closed, we delete its Customer Data within ninety (90) days, except where the law requires us to keep it; deleted data may remain in routine backups for a short period, as described in our Privacy Policy. We keep records of who accepted these Terms and our Privacy Policy, and when, for six (6) years.
7. Third-Party Services & Trademark Notice
The Service relies on infrastructure and hosting providers, and is designed to be used together with an AI assistant of your choosing (Claude, ChatGPT, Gemini, or another MCP-compatible tool), which you connect yourself. Your use of any such third-party service is also governed by that provider's own terms. We use reasonable efforts in selecting the providers we work with but are not responsible for their independent acts or omissions — including the independent acts of the AI assistant you choose to connect.
Any third-party names, logos, or trademarks referenced on our website or within the Service (for example, in connection with the AI assistants you can connect) are the property of their respective owners. None of these references imply sponsorship, endorsement, or affiliation with Wisertrack.
8. Intellectual Property
Wisertrack and its licensors retain all rights, title, and interest in the Service itself — including its software, design, branding, and underlying technology — except for Customer Data as described above. These Terms don't grant you rights to Wisertrack's trademarks, logos, or brand assets beyond using the Service as intended.
9. Service Availability
We use commercially reasonable efforts to keep the Service reliably available, but we do not guarantee uninterrupted access. We will provide advance notice for planned maintenance where practical. No formal uptime service-level commitment applies except where separately agreed with a customer in writing.
10. Term & Termination
These Terms remain in effect while you use the Service. You may stop using the Service and/or request deletion of your organisation's account at any time. We may suspend or restrict access as described in Section 5, or terminate for uncured material breach after reasonable notice. On termination, your right to use the Service ends, subject to the data retention/export terms in Section 6 and our Privacy Policy. When your organisation's account is closed, Customer Data is deleted as described in Section 6.5.
11. Disclaimers
The Service is provided "as is" and "as available." To the extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted, and — as noted in Section 2 — informal descriptions of the Service, including those generated by your connected AI assistant, do not constitute a warranty of specific functionality.
On statutory and compliance data specifically: OnboardTrack lets your organisation record country-specific statutory identifiers you choose to collect. We do not advise on what your organisation is legally required to collect, retain, or file with any authority, and you are responsible for determining and complying with the employment and data-protection law applicable to you in each jurisdiction where you operate.
Nothing in this section is intended to exclude or limit any right that cannot lawfully be excluded or limited under mandatory law applicable to you.
12. Limitation of Liability
To the extent permitted by applicable law, Wisertrack's total liability arising out of or relating to these Terms or the Service will not exceed the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, and Wisertrack will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.
This limitation does not apply to, and nothing in these Terms excludes or limits: liability for death or personal injury caused by negligence; liability for fraud or fraudulent misrepresentation; liability for gross negligence or wilful misconduct; or any other liability, guarantee, or remedy that cannot lawfully be excluded or limited under mandatory law applicable to you.
13. Indemnification
You agree to indemnify and hold Wisertrack harmless from claims, damages, and reasonable expenses (including legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law or a third party's rights.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore. Any dispute, controversy, or claim arising out of or relating to these Terms will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC for the time being in force, seated in Singapore, conducted in English.
Carve-out for protected users: if mandatory law that applies to you does not permit a foreign governing-law or arbitration clause to override your right to bring a claim before your local courts, or to rely on rights or guarantees that cannot be waived by agreement, then this clause applies only to the extent permitted by that law, and you retain whatever rights that law provides notwithstanding the arbitration clause above.
Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property or confidential information pending resolution of the arbitration.
15. Changes to These Terms
We may update these Terms from time to time. For material changes — including changes to pricing, core functionality, or these Terms themselves — we will provide at least thirty (30) days' advance notice via email or an in-app/website notice before the change takes effect. If you do not agree to a material change, you may terminate your subscription before it takes effect without penalty or exit fee; continued use of the Service after a change takes effect constitutes acceptance of it.
16. General
Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Severability: If any provision is found unenforceable, the remaining provisions stay in effect, and the unenforceable provision will be interpreted to best reflect its original intent to the extent permitted by law.
Entire agreement: These Terms, together with our Privacy Policy and any separately agreed order form, constitute the entire agreement between you and Wisertrack regarding the Service, and supersede any prior or contemporaneous representations not expressly incorporated here — including any description of the Service given by your own connected AI assistant (see Section 2).
Notices: We may provide notices via email, in-app messaging, or posting on our website.
